EU publishes study on the effectiveness of "comply or explain"
The European Commission has published a major study on the effectiveness of the corporate governance codes in the 27 EU member states. The IoD – along with its partners at ecoDa and Businesseurope – played a significant role in researching the perceptions of European companies and directors for the report.
The report concludes that the “comply-or-explain” approach adopted by the European Commission in 2006 enjoys wide acceptance from the corporate as well the institutional investor community. However, its practical implementation suffers from some deficiencies. These include unsatisfactory explanations of deviations from the codes from companies, and an inadequate level of monitoring from shareholders. Despite these issues, the comply-or-explain regime should not be abandoned. It should be strengthened. The final report is available here.
